On August 12, 2010, the Securities and Exchange Commission declared effective the registration statement on Form S-4 of Edgen Murray Corporation (the “Company”), and on August 13, 2010, the Company launched an exchange offer (the “Exchange Offer”) for its $465,000,000 12.25% Senior Secured Notes due 2015. The Exchange Offer will expire at 5:00 p.m. New York City time on September 13, 2010, unless the Company extends the Exchange Offer. Pursuant to the rules and regulations promulgated under the Securities Exchange Act of 1934, as amended, the Company has 45 days from the effective date of its registration statement to file its Form 10-Q for the quarter ended June 30, 2010. The Company intends to file its Form 10-Q for the quarter ended June 30, 2010 prior to the expiration date of the Exchange Offer.
